Zelims is a multi-entity accounting platform operated by Zelims LLC ("Zelims", "we", "us"), a Texas limited liability company. These terms form the agreement between Zelims LLC and the business that has been granted a Zelims workspace ("you"). By using Zelims, you agree to them.
If you are accepting these terms for a company, you confirm you are authorized to bind that company.
Access is invite-gated: we create a workspace for you and admit users by email address. You may add as many users as you need — every plan includes unlimited users, including your bookkeeper and your outside accountant, at no per-seat charge.
You are responsible for who you admit to your workspace and for what they do in it. Sign-in is passwordless: we email a one-time link, so keep control of the mailboxes you admit. Tell us promptly at admin@zelims.com if you believe someone has access who should not.
You control roles inside your workspace. Some actions are deliberately restricted by the software itself — for example, the person who creates a document cannot be the person who approves it. Those controls exist to protect your books and cannot be disabled on request.
Zelims is software for keeping your own books: recording transactions, reconciling accounts, producing reports, and closing periods across one or more companies.
We are not your accountant, auditor, bookkeeper or tax adviser, and nothing the software produces is accounting, tax, legal or investment advice. You remain responsible for the accuracy of your records, for the judgments behind them, and for your own tax and regulatory filings. A report, a reconciliation, or a signed close package is a record of what your data shows — it is not an opinion that your books are correct.
Features described as rolling out, in preview, or coming may change or may not ship. Only what is available in your workspace today is what you are paying for.
You own the data you put into Zelims. We process it to provide the service and for no other purpose: we do not sell it, do not share it for advertising, and do not use one customer's data to serve another. How we handle it is described in our Privacy Policy, which forms part of these terms.
You can export your data at any time while your workspace is active — trial balances and general ledger detail as CSV, and signed close packages as JSON — without asking us and without charge.
Because this is an accounting system, records are append-only by design: posted entries are corrected by reversal rather than edited or deleted, and closed periods keep their signed package. That is a feature of the product, and it means some data cannot be selectively removed on request.
Subscriptions are billed monthly in advance at the plan price agreed with you. Fees are exclusive of any taxes, which you are responsible for where they apply.
You may cancel at any time. Cancellation takes effect at the end of the billing period you have already paid for — you keep access for the rest of that period. We do not pro-rate refunds for partial months, but if something has genuinely gone wrong, contact us and we will deal with it reasonably.
If a payment fails, we will tell you and give you a grace period to fix it. If it remains unpaid, your workspace becomes read-only: you keep full access to read, export and download your books, and you can restore full access by paying. We do not delete your books for non-payment.
We may change plan pricing with at least 30 days' notice before it applies to your next renewal. If you don't accept a change, you can cancel before it takes effect.
Zelims can help you invoice your customers and, if you connect your own Stripe account, let them pay those invoices online. Those payments are between you, your customer and Stripe: the funds settle directly to your Stripe account, we are not a party to the transaction, we never hold your money, and we take no percentage of it.
Your use of Stripe is governed by your own agreement with Stripe. You are responsible for what you charge, for fulfilling what you sell, and for handling refunds, chargebacks and disputes with your customers.
Zelims uses AI to read documents, classify bank transactions, answer questions about your data, and draft routine work. The AI cannot post to your ledger. Everything it produces is a proposal that a person in your workspace accepts or rejects before it becomes a record.
AI output can be wrong. Review it as you would review work from a new bookkeeper — you remain responsible for what you accept. To provide these features we send the relevant parts of your workspace data to our AI provider for processing; the providers we use are listed in the Privacy Policy.
Use Zelims lawfully and for your own business's books. Do not attempt to access another workspace's data, probe or interfere with the security of the service, resell access, upload malicious files, or use the service to disguise or facilitate unlawful activity.
We may suspend a workspace immediately, without notice, if we reasonably believe it is being used to break the law or is putting other customers' data or the service at risk. Where we can, we will tell you why and give you a chance to fix it.
We work hard to keep Zelims running and available, but we do not currently commit to a specific uptime percentage or guaranteed response time — we would rather tell you that plainly than publish a number we do not operate against. There will be occasional maintenance, and there may be outages.
Support is by email at admin@zelims.com. While Zelims is invite-gated, you are dealing directly with the people who build it.
You can stop using Zelims at any time by cancelling (section 5). We can end this agreement on 30 days' written notice, or immediately if you materially breach these terms and do not fix it within 14 days of us asking.
After your workspace ends, we keep your data for 30 days so you can export it or change your mind, then delete or irreversibly anonymize it — except where we are required by law to keep records, and except for backups, which age out on their normal cycle. You can ask us to delete it sooner at admin@zelims.com.
We treat your business data as confidential and disclose it only to the service providers listed in our Privacy Policy, to people you have admitted to your workspace, or where the law requires it. If we are legally compelled to disclose your data, we will tell you unless we are prohibited from doing so.
Zelims is provided "as is". To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.
To the extent the law allows, neither party is liable to the other for indirect, incidental, special or consequential damages, or for lost profits, revenue or goodwill. Our total liability arising out of or relating to this agreement is limited to the fees you paid us in the twelve months before the event giving rise to the claim.
Nothing in these terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.
You will indemnify us against third-party claims arising from your data or your use of the service in breach of these terms.
We may update these terms. If a change is material, we will give you reasonable notice by email or in the application before it takes effect. Continuing to use Zelims after that means you accept the updated terms; if you do not, you can cancel.
These terms, together with the Privacy Policy, are the entire agreement between us about Zelims. If any provision is unenforceable, the rest still applies. Not enforcing something once does not waive it. You may not assign this agreement without our consent; we may assign it to a successor to our business.
This agreement is governed by the laws of the State of Texas, and the courts of Dallas County, Texas have exclusive jurisdiction over any dispute — without regard to conflict-of-laws rules.
